Corporate Counsel
The Corporate Counsel position will provide internal legal support to the Progress Residential team and will report to the Associate General Counsel. Responsibilities include but are not limited to contract review and negotiation, assistance with real estate contracts, leases and agreements, compliance and employment matters. This position provides general counsel and guidance to all Progress functional departments including property management and construction based in the field. The Corporate Counsel works closely with the executive management team and manages and provides direction to the paralegal.
Essential Functions:
General Legal Matters
Assist Associate General Counsel in management and use of outside counsel on various transactional matters.
Oversee the company's legal affairs by providing legal analysis, strategy, and solutions for various business activities in a legally sound manner that balances risks with achievement of the company's business goals and objectives.
Provide assistance and advice to management and various departments and locations of the company.
Supervise paralegal(s).
Contract Matters
Review, revise and negotiate commercial contracts and create standard company forms.
Manage contract process, including drafting, negotiation, review and interpretation of company contracts.
Work closely with all operations in developing contract strategies, preparing agreements and maintaining resident relationships.
Draft, negotiate, and review general corporate contracts for various company departments and field operations, including transactional documents, vendor and license agreements, employment agreements, confidentiality and non-disclosure agreements, and business associate agreements.
Manage contract approval and execution process for material company contracts.
Employment Matters
Provide advice and mitigation strategies related to employment matters and assist Human Resources on day-to-day employment issues.
Draft and negotiate employment and consulting arrangement agreements.
Assist Human Resources in preparation of employee and company policies.
Provide legal advice to all levels of management and staff on all human relations, employment and labor legal issues.
Real Estate Matters
Manage real estate and leasing matters for the company.
Assist in administration of leases, lease approval and execution process.
Review, prepare and negotiate lease agreements, amendments, sublease agreements, and other property documents.
Address various legal issues associated with commercial property ownership and leasing, including landlord and property disputes.
Litigation matters
Manage litigation, licensing, and various compliance initiatives.
Review and provide risk analysis of threatened or actual litigation, complaints and other pre-litigation matters.
Actively manage outside counsel relationships in commercial and litigation matters. Assist in coordination and direction of litigation strategy to resolve matters expeditiously and economically.
Provide counsel to management on day-to-day issues and implement policies and procedures to minimize risk.
Provide counsel to human resources and field management on EEOC and legal actions taken by employees to mitigate risk, liability and costs.
Qualifications:
JD degree and admitted to the practice of law in at least one state.

years of generalist legal experience at a top law firm or from an in-house corporate setting.
Ability to multi-task, work independently, lead large projects, and run fast-paced deals.
Excellent organizational, drafting, and communication skills.
Knowledge of residential real estate, contract law, real-estate finance and acquisition, property management, and SEC reporting preferred.
Experience managing outside counsel, multi-state workflows, and corporate filings.
Familiarity with EDGAR, CTAdvantage, Salesforce, Yardi, or PowerPoint a plus.
Experience managing boards and shareholder communications preferred. Estimated Salary: $20 to $28 per hour based on qualifications.
